Aramco to Exit Malaysian Refining Venture as Petronas Takes Full Control

Saudi Aramco is transferring its equity stakes in the PRefChem refining and petrochemical venture to Petronas, paving the way for the Malaysian energy giant to take full ownership of the integrated downstream business in Johor, Malaysia.

The two companies confirmed on Monday that they had signed an agreement covering the transfer of Aramco’s stakes in Pengerang Refining Company Sdn. Bhd. and Pengerang Petrochemical Company Sdn. Bhd., collectively known as PRefChem. The facilities are located within the Pengerang Integrated Complex, one of Malaysia’s largest refining and petrochemical hubs.

The transaction remains subject to customary closing conditions. Once completed, Petronas will assume complete ownership and operational control of PRefChem, strengthening its position across the refining and petrochemical value chain.

Petronas said the move would allow the company to improve operational integration, increase flexibility across its supply chain and optimise its international network to maintain reliability under varying market conditions.

For Aramco, the exit forms part of a broader downstream portfolio optimisation strategy, enabling the Saudi energy major to focus on investments aligned with its long-term business priorities.

The companies described the agreement as being reached on mutually agreed terms, reflecting changing strategic objectives for both sides as global energy markets continue to evolve.

Despite the ownership transition, Aramco and Petronas said they intend to continue exploring future areas of cooperation. Potential collaboration could include crude oil supply arrangements, technology exchange and integrated product distribution, building on their long-standing partnership.

Both companies added that maintaining operational performance and delivering long-term value would remain a priority throughout the transition process.
